Erik Oioli is the founder and managing partner of VBSO Advogados. He holds a Ph.D. and a Master’s degree in Commercial Law from the Faculty of Law at the University of São Paulo, where he also completed his undergraduate studies. He is a specialist in Financial and Capital Markets Regulation from the School of Law at Fundação Getúlio Vargas. Erik pursued an MBA in Finance at Insper and completed the Program for Management Development (PMD) and the Advanced Board Leader Program (ABLP) at IESE Business School. He is a professor in the LLM programs in Financial and Capital Markets at Insper and the Executive Leader Program at CEU Law School. Erik also serves as Vice-President of the Institute of Applied Corporate Law (IDSA), founder of the Brazilian Institute of Agribusiness Law (IBDA), executive director and editorial board member of the Journal of Corporate Law and Securities (RDSVM), founder of Instituto VBSO and Expertise VBSO, a member of the Governance Lab (Portugal) and IBRADEMP, and an arbitrator at CAMAGRO – Arbitration and Mediation Chamber of Agribusiness. Additionally, he serves as an advisory board member for various companies and is an author of books and articles on Corporate Law, Financial and Capital Markets Law, Corporate Governance, and Blockchain, published both in Brazil and abroad.

 

Experience:

Erik Oioli has over 25 years of experience in financial and capital markets transactions, advising national and international clients across various sectors on structuring financing and fundraising operations in both fixed and variable income markets, including through securitization vehicles and investment funds. His expertise extends to capital market transactions such as public offerings and delistings, public tender offers (OPA), project finance, and regulatory consulting.

He is also an expert in Corporate Law and Corporate Governance, fields in which he holds both a Master’s and a Ph.D. He advises clients on structuring business ventures in the country through cooperation agreements (joint ventures, distribution contracts, etc.) and/or business combinations (purchase and sale of equity interests, mergers, spin-offs, and acquisitions). He is recognized as one of the leading specialists in corporate law and public tender offers in Brazil.

Furthermore, Erik Oioli represents clients’ interests in administrative proceedings before the Central Bank and the Securities and Exchange Commission (CVM), including processes for establishing regulated institutions, obtaining various licenses and authorizations, as well as in administrative or judicial litigation involving financial and capital markets (Bacen, CVM, CRSFN, BSM, etc.), corporate litigation and arbitration, mediation of corporate disputes, and credit recovery, particularly in judicial recovery procedures and recovery plan design.

Lastly, Erik Oioli is acknowledged as one of Brazil’s foremost experts in blockchain and crypto-assets. He was a pioneer in structuring asset tokenization projects in Brazil and developing projects using Distributed Ledger Technologies (such as blockchain) as infrastructure for business and financial transactions. In this capacity, Erik has represented clients and entities in shaping the regulatory agenda for this market, including discussions with regulators on specific cases, participating in debates and public consultations, and conducting workshops for regulators and regulated entities.
